1. Acceptance of Terms

By accessing, browsing, or using the EkaVox platform available at ekavox.app and any associated applications, APIs, or services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company, organization, or other legal entity ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms, and references to "you" or "your" shall include both you individually and the Organization.

If you do not agree to these Terms, you must immediately stop using the Platform. Your continued use of the Platform after any modification to these Terms constitutes acceptance of the modified Terms.

These Terms form a legally binding agreement between you and EkaVox, operated from Bangalore, India ("EkaVox," "we," "us," or "our").

2. Description of the Service

EkaVox is an AI-powered application development platform that enables users to design, build, and export software applications using artificial intelligence. The Platform provides the following core capabilities:

  • AI-assisted code generation powered by third-party AI models, including but not limited to Claude (Anthropic), Gemini (Google), and OpenAI.
  • A credit-based billing system where AI operations consume credits purchased or earned by users.
  • Project management tools including workspaces, version history, and collaboration features.
  • Code export functionality allowing users to download and deploy generated applications.
  • Support for Bring Your Own Key ("BYOK"), where users may supply their own API keys for supported AI providers.
  • Organization management for teams and enterprise customers.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We will make commercially reasonable efforts to notify users of material changes.

3. User Accounts

3.1 Account Creation

To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to create an account.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any API keys stored within the Platform. You agree to notify us immediately at support@ekavox.app if you become aware of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to secure your account.

3.3 Account Sharing

Your account is personal to you. You may not share your login credentials with any other person. If you require multiple users to access the Platform, you must use the Organization feature and create individual accounts for each user.

4. Organizations

The Platform allows users to create and manage Organizations. The individual who creates an Organization is designated as the Owner. The Owner and designated Administrators are responsible for managing membership, permissions, and billing for the Organization.

Organization Owners are responsible for ensuring that all members comply with these Terms. Credits purchased by or allocated to an Organization are the property of the Organization and are managed by the Owner or Administrators. When an Organization is deleted, any remaining credits associated with it are forfeited and non-refundable.

Disputes between Organization members regarding access, ownership, or billing are the responsibility of the Organization. EkaVox will not mediate internal organizational disputes unless required by law.

5. Billing, Credits, and Refunds

5.1 Credit System

The Platform operates on a credit-based billing model. Credits are consumed when you perform AI-powered operations such as code generation, code review, debugging, and other AI interactions. The number of credits consumed per operation varies based on the AI model used, the complexity of the request, and the length of the input and output.

Credit consumption rates are displayed on our pricing page and may be updated from time to time. We will make reasonable efforts to notify users before significant changes to credit consumption rates take effect.

5.2 Purchasing Credits

Credits may be purchased through the Platform via our payment processor, Razorpay. All payments are processed in the currency displayed at the time of purchase. By making a purchase, you agree to Razorpay's terms of service in addition to these Terms. You are responsible for any taxes, duties, or fees imposed by your jurisdiction.

5.3 Subscriptions

Certain plans are offered on a subscription basis (monthly or annual). Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

5.4 Refunds

Refunds are governed by our separate Refund Policy. In summary: monthly subscriptions may be refunded within 14 days of the initial charge; annual subscriptions are eligible for pro-rated refunds; credit pack purchases are non-refundable once any credits have been consumed, and refundable within 7 days if entirely unused. All refunds are processed through Razorpay.

5.5 Free Credits and Promotions

We may, at our sole discretion, offer free credits, promotional credits, or trial periods. Such credits may have expiration dates, usage restrictions, or other conditions. Promotional credits have no cash value, are non-transferable, and are non-refundable. We reserve the right to revoke promotional credits obtained through fraud, abuse, or violation of these Terms.

6. Intellectual Property

6.1 Platform Ownership

The Platform, including its source code, design, architecture, user interface, documentation, trademarks, logos, and all related intellectual property, is and remains the exclusive property of EkaVox and its licensors. Nothing in these Terms grants you any right, title, or interest in the Platform itself beyond the limited license to use it in accordance with these Terms.

6.2 User-Generated Code Ownership

Subject to your compliance with these Terms and full payment for the services used, you retain ownership of the code, applications, and other output generated through your use of the Platform ("Generated Code"). EkaVox does not claim ownership over your Generated Code.

However, you acknowledge and agree that: (a) AI-generated code may contain patterns, structures, or snippets that are similar or identical to code generated for other users, and such similarity does not constitute infringement of your rights; (b) EkaVox may use anonymized and aggregated usage data (not your specific Generated Code) to improve the Platform; and (c) any code templates, starter projects, or example code provided by EkaVox remains the property of EkaVox and is licensed to you on a non-exclusive basis.

6.3 User Content License

By uploading prompts, specifications, designs, or other content to the Platform ("User Content"), you grant EkaVox a limited, non-exclusive, worldwide, royalty-free license to use, process, and transmit such User Content solely for the purpose of providing the Platform services to you. This license terminates when you delete the User Content or close your account, subject to reasonable backup retention periods.

6.4 Feedback

If you provide suggestions, ideas, or feedback about the Platform ("Feedback"), you grant EkaVox a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Platform without any obligation to you.

7. Bring Your Own API Key (BYOK)

The Platform allows you to use your own API keys from supported AI providers (Claude/Anthropic, Gemini/Google, OpenAI) instead of consuming EkaVox credits. When you use BYOK:

  • Your API requests are sent directly to the respective AI provider using your API key. EkaVox acts as an intermediary to format and transmit the request but does not store or log the content of the API responses beyond what is necessary to display results to you.
  • You are solely responsible for the costs incurred on your AI provider account. EkaVox has no visibility into or control over your provider billing.
  • You are responsible for ensuring that your use of the AI provider's services through the Platform complies with that provider's terms of service and acceptable use policies.
  • Your API keys are encrypted at rest within the Platform. However, you assume the risk of storing API keys on a third-party platform. We strongly recommend using API keys with appropriate rate limits and spending caps.
  • EkaVox is not liable for any charges, data loss, or service disruptions resulting from your use of BYOK, including but not limited to API key revocation by the provider, rate limiting, or unexpected charges.

8. AI Output Disclaimers

The Platform uses artificial intelligence to generate code and application components. You acknowledge and agree to the following:

  • No Warranty on Quality. AI-generated code is provided "as is" without any warranty regarding its quality, correctness, completeness, performance, security, or fitness for any particular purpose.
  • No Security Guarantee. Generated code may contain security vulnerabilities, bugs, or errors. You are solely responsible for reviewing, testing, and securing all Generated Code before deploying it in any environment, particularly production environments.
  • No Legal or Compliance Guarantee. Generated code may not comply with applicable laws, regulations, industry standards, or accessibility requirements in your jurisdiction. You are responsible for ensuring compliance.
  • Potential for IP Issues. AI models are trained on publicly available data and may generate code that resembles existing copyrighted or licensed code. You are responsible for conducting appropriate due diligence before using Generated Code commercially.
  • Non-Deterministic Output. AI outputs are non-deterministic. The same prompt may produce different results at different times. Previous outputs are not guaranteed to be reproducible.
  • Human Review Required. All Generated Code should be reviewed by a qualified developer before use. EkaVox does not substitute for professional software development judgment.

9. Acceptable Use

Your use of the Platform is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the Platform for any unlawful, harmful, or abusive purpose, and to comply with all applicable laws and regulations.

Without limiting the foregoing, you agree not to: (a) reverse engineer, decompile, or disassemble any part of the Platform; (b) attempt to gain unauthorized access to any systems or networks connected to the Platform; (c) use the Platform to develop competing AI code-generation products by extracting model behavior; (d) circumvent rate limits, credit consumption mechanisms, or other technical restrictions; or (e) use automated means to access the Platform except through our published APIs.

10. Content Moderation

EkaVox reserves the right, but is not obligated, to monitor, review, or moderate content created on or transmitted through the Platform. We may, at our sole discretion, remove or disable access to any content that violates these Terms, our Acceptable Use Policy, or applicable law.

AI providers may also apply their own content moderation and safety filters, which may prevent certain prompts from being processed or certain outputs from being generated. EkaVox is not responsible for content filtering applied by third-party AI providers.

11. Third-Party Services

The Platform integrates with and relies upon third-party services, including but not limited to:

  • AI Providers: Anthropic (Claude), Google (Gemini), and OpenAI for AI-powered code generation.
  • Payment Processing: Razorpay for payment collection and processing.
  • Infrastructure: Cloud hosting providers for platform operations.
  • Authentication: Third-party authentication providers for single sign-on.

Your use of these third-party services is subject to their respective terms of service and privacy policies. EkaVox is not responsible for the availability, accuracy, or reliability of third-party services. Any outage, change, or discontinuation of a third-party service may affect Platform functionality, and EkaVox shall not be liable for such impacts.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
  • EKAVOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.
  • EKAVOX'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO EKAVOX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100).
  • EKAVOX SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR COSTS ARISING FROM: (I) THE QUALITY, SECURITY, OR FUNCTIONALITY OF AI-GENERATED CODE; (II) YOUR RELIANCE ON AI OUTPUTS WITHOUT INDEPENDENT VERIFICATION; (III) THIRD-PARTY SERVICE OUTAGES OR FAILURES; (IV) UNAUTHORIZED ACCESS TO YOUR ACCOUNT DUE TO YOUR FAILURE TO MAINTAIN SECURITY; OR (V) YOUR USE OF BYOK API KEYS.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability shall be limited to the fullest extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless EkaVox, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your Generated Code, including any claims that your Generated Code infringes the intellectual property rights of a third party; (d) any applications you build, publish, or distribute using the Platform; (e) your use of BYOK API keys; or (f) your violation of any applicable law or regulation.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us at support@ekavox.app or through your account settings. Upon termination, your right to access the Platform ceases immediately. You should export any Generated Code before closing your account.

14.2 Termination by EkaVox

We may suspend or terminate your account, with or without notice, if: (a) you breach these Terms or the Acceptable Use Policy; (b) we are required to do so by law; (c) your account has been inactive for more than 12 consecutive months; or (d) we reasonably believe your account is being used for fraudulent or illegal activity.

14.3 Effect of Termination

Upon termination: (a) all licenses granted to you under these Terms cease immediately; (b) any unused credits are forfeited and non-refundable (except where required by law or as provided in our Refund Policy); (c) we may delete your account data, including Generated Code, after a reasonable retention period of 30 days; and (d) sections of these Terms that by their nature should survive termination (including but not limited to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will: (a) update the "Last Updated" date at the top of this page; (b) notify you by email or through a prominent notice on the Platform at least 30 days before the changes take effect; and (c) where required by applicable law, obtain your explicit consent.

If you disagree with the modified Terms, you must stop using the Platform before the changes take effect. Your continued use of the Platform after the effective date of the modified Terms constitutes acceptance.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Subject to the arbitration clause below, you agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Bangalore, Karnataka, India, and you consent to the personal jurisdiction and venue of such courts.

17. Dispute Resolution and Arbitration

17.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@ekavox.app and attempt to resolve the dispute informally for a period of at least 30 days.

17.2 Binding Arbitration

If the dispute cannot be resolved informally, it shall be finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India), as amended. The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, or in the absence of agreement, appointed in accordance with the Act. The seat and venue of arbitration shall be Bangalore, Karnataka, India. The language of arbitration shall be English. The arbitrator's award shall be final and binding on both parties.

17.3 Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action.

17.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

19. Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, and Refund Policy, constitute the entire agreement between you and EkaVox with respect to the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

20. Miscellaneous

Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. EkaVox may assign these Terms without restriction.

Force Majeure. EkaVox shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, pandemics, strikes, or infrastructure failures.

Notices. We may send notices to you via email to the address associated with your account or by posting a notice on the Platform. You may send notices to us at legal@ekavox.app.

No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.
